接受是受盤人無條件地同意發(fā)盤人在發(fā)盤中提出的交易條件的肯定表示。
構(gòu)成法律上的一的項(xiàng)有效接受,其必備條件包括起來有以下四項(xiàng):(1)接受必須由特定的人作出;(2)接受必須以某種方式明確表示出來;(3)接受必須在發(fā)盤有效期內(nèi)送達(dá)發(fā)盤人;(4)接受必須與發(fā)盤相符。合同的成立,以受益人的接受為重要標(biāo)志,擬寫接受函電,必須在核對(duì)無誤的情況下,方可發(fā)出該接受函電,因?yàn)槌蜂N一項(xiàng)已生效的接受, 無異于撤銷一項(xiàng)已成產(chǎn)立的合同,而合是不得為一方當(dāng)人擅自撤銷的。
